PLEASE READ THE FOLLOWING END USER LICENSE AGREEMENT ("EULA" OR "AGREEMENT") CAREFULLY.
This Agreement is a legally binding agreement between you (hereinafter also referred to as the "User" or "Player") and Morizero, and it contains important terms related to your legal rights. Downloading, installing, using, or accessing Morizero's games or services means that you agree to accept all the terms in this Agreement. If you do not agree to any of the terms in this Agreement, please do not download, install, use, or access Morizero's games or services directly or indirectly. Once the user registers, starts using, and/or continues to access Morizero's games or services, the user is deemed to have agreed to and accepted all the terms in this Agreement.
If you are not an adult of legal age of majority in your country of residence, or you are not fully capable of civil conduct, you should read this Agreement accompanied by your legal guardian, and can only agree to all the terms of this Agreement to access Morizero's games or services after obtaining the guardian's consent for the user to access Morizero's games or services.
Definitions
- Morizero: refers to the Morizero team. Morizero may provide services to you through its own websites and platforms, partners' websites and platforms, and authorized parties' websites and platforms.
- "You", also known as "Player" or "User": refers to the individual or entity that downloads, installs, uses, or accesses Morizero's games or services through legitimate channels provided by Morizero.
- "Milthm" or "Game": refers to the game Milthm developed by Morizero. The Game also includes related software and related documents, as well as related updates, upgrades, patches, expansions, etc. The services provided by Morizero include game-related network servers, websites (including but not limited to official game websites and social media accounts), electronic media, documents, etc.
- "Agreement" or "License": refers to the End User License Agreement, privacy policy, game rules, and revisions of all of the above documents. The game rules refer to the user codes, game announcements, tips, and notices released and revised by Morizero from time to time. The above contents become an integral part of this Agreement once officially released.
Ⅰ. License and Use of Services
1.1 License Grant
Subject to your acceptance of all the terms of this Agreement, Morizero agrees to grant you a personal, non-commercial, non-profit, revocable, modifiable, non-exclusive, non-transferable, and non-sublicensable right to install or access the Game and the services provided by Morizero, valid until the date you or Morizero terminates this license. Without Morizero's permission, you may not access Morizero's games or services for any commercial purposes on your own or allow others to do so. Morizero reserves all rights not granted to you in this Agreement.
This license allows you to:
1. Download, install, use, or access the Game or services on devices allowed by the app store agreement. You should prepare the equipment required to install, use, or access the Game or services provided by Morizero yourself. Downloading, installing, using, or playing games may require payment of standard network and/or broadband fees. According to your contract with the relevant network service provider, you should be responsible for paying additional data fees to your network operator.
2. Access and use the Game and services provided by Morizero (including any published content) only to use the features of the Game and services for personal entertainment. "Content" refers to all artwork, titles, themes, objects, characters, names, dialogues, catchphrases, stories, animations, concepts, sounds, audiovisual effects, gameplay, musical compositions, virtual items, and any other content in the services. Content also includes any content that any user generates, creates, or otherwise produces in the services as a result of interacting with the service features. If you want to create derivative works or publish live streams of the publicly released content of the Game, you must agree and comply with the Milthm Content Creation Code.
1.2 Service Restrictions
Using Morizero's games or services may require downloading and installing related software. You can get related software directly from the official game website, or a third party authorized by Morizero. If you obtain the Game or any game with the same and/or similar name developed by Morizero from an unauthorized third party, you will be deemed not to have obtained Morizero's authorization, and we cannot guarantee that the Game can function properly, and will not be responsible for any losses caused to you.
Morizero may limit, modify, or restrict your access to and use of certain content, virtual items, the Game, or any or all services, depending on the country or region you are located in. Without limiting the foregoing provisions, if the content, virtual items, the Game or services does not comply with the applicable laws of the country or region you are located in, it may not be available (in whole or in part) in your country or region, or only a modified version may be available.
Morizero may provide patches, updates, or upgrades for the Game and services that you must install to continue using the services. We may remotely update the services without notifying you, and you hereby agree that we apply such patches, updates, and upgrades. If your device prohibits automatic updates, you may not be able to access the Game or services until you manually update them.
Morizero has the right to terminate or interrupt all or part of the services provided by the game server in the event of any of the following occurrences, and Morizero shall not be liable to users or any third party for any inconvenience or damage resulting therefrom:
1. Regular inspections or construction, software and hardware updates, etc.;
2. The game server is damaged and unable to function properly;
3. Sudden software, hardware, and electronic communication equipment failures;
4. Network provider line or other failures;
5. In emergencies by legal provisions or for the personal safety of users and third parties;
6. Third party causes or other force majeure circumstances.
Subject to applicable law, Morizero reserves the right to terminate or partially terminate the provision of game services in whole or in part when it deems necessary, and we will announce 60 days in advance before termination. Regardless of the reason for the termination of the game services, the user should take appropriate measures to deal with the game virtual items on his/her own, including but not limited to canceling or stopping the use of the user account, game virtual items, and other related matters. Users shall not require Morizero to assume any form of compensation or indemnity liability for the termination of the game service, except for the game virtual currency that the user has purchased but not yet used, including but not limited to the compensation requested for no longer being able to continue using the user account, game virtual items, etc.
1.3 Photosensitive Warning
A very small percentage of individuals may experience epileptic seizures or blackouts when exposed to certain visual images, including without limitation light patterns or flashing lights. If you experience any of the following symptoms while playing the Game, immediately discontinue use and consult your physician before resuming play: blackouts, seizures, dizziness, altered vision, eye or muscle twitches, jerking or shaking of arms or legs, loss of awareness, disorientation, confusion, any involuntary movement, or convulsions.
Ⅱ. User Behavior Restrictions
By starting the Game, you agree to comply with all applicable laws, rules, and regulations. You also agree to comply with the Agreement and related norms of the Game, which are not exhaustive and may be modified by Morizero at any time. Unless otherwise provided in this Agreement or authorized by Morizero, you may not do the following:
1. Sell, rent, authorize, distribute, sell, copy, reproduce, distribute, transfer, and develop the Game and any derivatives;
2. Reverse engineer, decompile, disassemble, modify, copy, or create derivative works of all or part of the Game (unless the Game allows you to create, generate, or submit original user content through a specific feature, for which you need to create an account and comply with the terms of use);
3. Modify, distort, obstruct, disrupt, delay and/or interfere with the normal functioning of the Game, or interfere with the accessibility of the Game to other users and the normal operation of the game partner network, including but not limited to creating, using and/or spreading "auto", "modifiers", "scripts" or other "cheating" or "hacking" computer programs or software applications for the Game;
4. Remove, alter, disable, or circumvent any copyright, trademark, or other original and proprietary notices, statements, or labels contained in the Game;
5. Create, use, share and/or publish any information (text, words, images, sound, video, etc.) related to the Game that may violate confidentiality obligations, infringe any intellectual property rights or personal privacy rights, or incite illegal activities (especially piracy, disclosure or dissemination of counterfeit software) in any form;
6. Use Morizero's games or services to transmit or communicate any materials or content that is considered aggressive (as determined by Morizero at its discretion) or prohibited by the laws and regulations of the People's Republic of China, including but not limited to anything that is harmful, threatening, illegal, abusive, harassing, libelous, defamatory, obscene, pornographic, racially, or ethnically offensive, or gives rise to controversy;
7. Collect any information about other users, including but not limited to users' personal identity and contact information, in any way without authorization from Morizero, by utilizing related services provided by Morizero;
8. Misuse help services or send false reports to Morizero members;
9. Impersonate a member, representative, partner, or authorized party of Morizero;
10. Violate any applicable laws or regulations.
Ⅲ. Ownership and Intellectual Property Rights Statement
All rights, ownership, and intellectual property rights contained in or related to the Game (including but not limited to all text, images, music or sounds, all message or information entries, virtual characters, names, themes, objects, scenes, costumes, effects, dialogues, slogans, locations, features, charts, concepts, choreography, imagery, audiovisual effects, domain names and any other elements contained in the Game, and any copies thereof), in both individual and composite form, belong to Morizero or its licensors. The Game is protected by national and international laws, copyright treaties and conventions, and other laws. The Game may contain some licensed materials, in which case Morizero's licensors may protect their rights if this Agreement is violated. Unless expressly provided for in this Agreement, Morizero expressly retains all rights not granted to you under this Agreement. Unauthorized use or copying may violate applicable laws and result in legal action.
This license does not grant any ownership or title to the Game, and should not be construed as a sale of any rights in the Game.
Ⅳ. Updates and Modifications
Morizero reserves the right to modify, supplement, delete, update this Agreement. We have the right to modify this Agreement when necessary and provide notice on relevant pages. Users can check the latest version of the agreement terms on the official game page, and we will also try our best to notify users. The notification channels include but are not limited to in-game, official game website, official game social media account dynamics or announcements, emails, etc. We will choose one or more of these channels for notification. After the terms of this Agreement are changed, if you continue to log in to the Game or use the services involved in this Agreement, it will be deemed that you have accepted the changed Agreement. If you do not accept the changed Agreement, you should stop accessing the Game and services.
Ⅴ. Termination
If you disagree with or breach any terms of this Agreement, the license will be revoked immediately, and you must stop using or accessing the Game and services, including all products and derivatives of the Game.
Ⅵ. Applicable Law and Dispute Resolution
This Agreement is entered into in Fujian Province, People's Republic of China.
The formation, performance, modification, termination, and dissolution of this Agreement shall be governed by the laws of mainland People's Republic of China (excluding conflict of laws rules).
In the event of any dispute between the parties, it shall first be resolved through friendly negotiation; if negotiation fails, the parties hereby fully agree to submit the dispute to the people's court that has jurisdiction in the place where the Agreement is signed.
Ⅶ. Other Provisions
This Agreement is available in multiple language versions. If there's any conflict between the other language versions and the English version, the English version shall prevail.
The titles of all terms in this Agreement are for reading convenience only and have no actual meaning in themselves. They can not be used as a basis for interpreting the meaning of the Agreement.
To avoid disputes, you agree to use the data stored by Morizero as the standard for judging issues related to data and technology involved in this Agreement.
If any provision of this Agreement is invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding on both parties.
If Morizero does not exercise, fails to exercise promptly, or fails to fully exercise the rights under this Agreement or as provided by law, it shall not be deemed to constitute a waiver of such right or provision, nor affect Morizero's exercise of such right in the future.
Morizero reserves the right to modify, supplement, delete, and update this Agreement.
