End-User License Agreement (EULA) for LumineNight

IMPORTANT: PLEASE READ CAREFULLY BEFORE INSTALLING OR USING LumineNight. BY INSTALLING OR USING THE SOFTWARE, YOU (REFERRED TO AS "LICENSEE" OR "YOU") AGREE TO BE BOUND BY THE TERMS OF THIS END-USER LICENSE AGREEMENT (EULA). IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL OR USE THE SOFTWARE.
LICENSE GRANT
Subject to your compliance with the terms and conditions of this EULA, Spicka Soft Inc. (referred to as "Licensor" or "We") hereby grants you a limited, non-exclusive, non-transferable, revocable license to install and use one (1) copy of the LumineNight software (the "Software") solely for your personal, non-commercial entertainment purposes.
INTELLECTUAL PROPERTY
The Software, including all associated intellectual property rights, is the sole and exclusive property of Licensor. This EULA does not grant you any ownership rights to the Software. All rights not expressly granted to you in this EULA are reserved by Licensor.
RESTRICTIONS
You may not, and you agree not to:
a. Copy, reproduce, modify, distribute, display, perform, create derivative works from, or exploit the Software in any way, unless expressly permitted by this EULA or applicable law;
b. Reverse engineer, decompile, or disassemble the Software, or attempt to derive the source code from the Software;
c. Remove, alter, or obscure any copyright, trademark, or other proprietary notices in or on the Software;
d. Use the Software for any commercial purpose or for any purpose that is not expressly permitted by this EULA;
e. Rent, lease, lend, sell, sublicense, or otherwise transfer the Software to any third party;
f. Use the Software in a manner that violates any applicable laws, regulations, or third-party rights.
ACCOUNTS
In order to access and use certain features of the Software, you may be required to create an account. You are solely responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify Licensor immediately of any unauthorized use of your account or any other breach of security.
UPDATES
Licensor may, in its sole discretion, provide updates, patches, and modifications to the Software. These updates may be required for continued use of the Software and you agree to install them.
TERMINATION
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with its terms. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control.
DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS IN THE SOFTWARE WILL BE CORRECTED.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS EULA OR YOUR USE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SOFTWARE.
GOVERNING LAW
This EULA is governed by and construed in accordance with the laws of Korea. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the state and federal courts located in Korea.
ENTIRE AGREEMENT
This EULA constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior or contemporaneous communications, agreements, and understandings, whether oral or written.
By installing or using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA.
