END-USER LICENSE AGREEMENT (EULA)
FOR MAWFORGED
This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Axiosys ("Company," "We," or "Us"), a Swiss company with its principal place of business at 5113 Holderbank (AG), Switzerland. By installing, accessing, or using the video game Mawforged ("Game"), you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install, access, or use the Game.
1. Grant of License
1.1. Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to:
Install and use one copy of the Game on a compatible device for personal, non-commercial use.
Access and use the Game's content, features, and services as provided by the Company.
1.2. This license does not grant you any ownership rights in the Game or its content. All rights not expressly granted to you are reserved by the Company.
2. Restrictions
2.1. You agree not to:
Copy, distribute, or reproduce the Game or any part of it, except as expressly permitted by this Agreement.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Game, except to the extent permitted by applicable law.
Modify, adapt, or create derivative works based on the Game.
Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Game.
Use the Game for any commercial purpose, including but not limited to selling, renting, or sublicensing access to the Game.
Exploit the Game or its content for any unauthorized purpose, including cheating, hacking, or using third-party software to gain an unfair advantage.
2.2. Violation of these restrictions may result in the termination of your license and legal action.
3. Ownership and Intellectual Property
3.1. The Game, including but not limited to its software, code, graphics, artwork, music, sound effects, storylines, characters, and all other content, is the intellectual property of the Company and is protected by copyright, trademark, and other applicable laws.
3.2. You acknowledge that all rights, title, and interest in and to the Game, including all intellectual property rights, belong exclusively to the Company.
4. User-Generated Content
4.1. If the Game allows you to create, upload, or share content ("User-Generated Content"), you grant the Company a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, distribute, and display your User-Generated Content in connection with the Game and the Company's business.
4.2. You represent and warrant that your User-Generated Content:
Does not infringe the intellectual property rights or other rights of any third party.
Does not contain harmful, offensive, or illegal material.
4.3. The Company reserves the right to remove or disable access to any User-Generated Content that violates this Agreement or is otherwise objectionable.
5. Updates and Modifications
5.1. The Company may provide updates, patches, or modifications to the Game at its sole discretion. These updates may include bug fixes, new features, or changes to existing features.
5.2. You agree that the Company may update the Game remotely without prior notice, and your continued use of the Game constitutes acceptance of such updates.
6. Termination
6.1. This Agreement is effective until terminated. You may terminate this Agreement by uninstalling and ceasing all use of the Game.
6.2. The Company may terminate this Agreement at any time if you fail to comply with its terms. Upon termination, you must immediately cease all use of the Game and uninstall all copies.
7. Limitation of Liability
7.1. To the fullest extent permitted by Swiss law, the Company shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the Game, including but not limited to loss of profits, data, or business opportunities.
7.2. The Company's total liability for any claims arising under this Agreement shall not exceed the amount you paid to access the Game, if any.
7.3. Nothing in this Agreement limits or excludes the Company's liability for:
Death or personal injury caused by its negligence.
Fraud or fraudulent misrepresentation.
Any other liability that cannot be excluded or limited under Swiss law.
8. Warranty Disclaimer
8.1. The Game is provided "as is" and "as available," without warranties of any kind, either express or implied. The Company disclaims all warranties, including but not limited to:
Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Warranties that the Game will be error-free, uninterrupted, or free from harmful components.
8.2. You assume all risks associated with the use of the Game.
9. Governing Law and Dispute Resolution
9.1. This Agreement shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of laws principles.
9.2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Aargau, Switzerland.
10. Miscellaneous
10.1. Entire Agreement: This Agreement constitutes the entire agreement between you and the Company regarding the Game and supersedes all prior or contemporaneous agreements.
10.2. Amendments: The Company may amend this Agreement at any time by posting the updated terms on its website or within the Game. Your continued use of the Game constitutes acceptance of the amended terms.
10.3. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
10.4. Assignment: You may not assign or transfer your rights or obligations under this Agreement without the Company's prior written consent.
ACKNOWLEDGMENT
By installing, accessing, or using the Game, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, do not install, access, or use the Game.
