Subject to your agreementto and continuing compliance with this License Agreement, MAIET hereby grants,and you hereby accept, a limited, non-exclusive license to (a) install theSoftware on one or more computers owned by you or under your legitimatecontrol, and (b) use the Software in conjunction with the Service for yournon-commercial entertainment purposes only. All use of the Software is subjectto this License Agreement and to the Terms of Use agreement (the “Terms ofUse”), both of which you must accept before you can use your User Account(hereinafter referred to as “Account”) to play the Game.

d.<spanstyle='mso-spacerun:yes'> remove or tamper withany copyright or other proprietary notices contained in or relating to theSoftware, Service or Game experience, or any portion thereof;[/u]

e.<spanstyle='mso-spacerun:yes'> use cheats,automation software (bots), hacks, mods or any other unauthorized third-partysoftware, tools or content designed to modify the Software, the Service or theGame experience;[/u]

f.<spanstyle='mso-spacerun:yes'> exploit the Software,the Service, the Game experience or any portion thereof for any commercialpurpose, including without limitation, (i) use at acyber cafe, computer gaming center or any other location-based site without theexpress written consent of MAIET; (ii) for gathering in-game currency, items orresources for sale outside the Software; or (c) performing in-game services inexchange for payment outside the Software (e.g., power-leveling and similaractivities);[/u]

g.<spanstyle='mso-spacerun:yes'> use any unauthorizedthird-party software that intercepts, “mines”, or otherwise collectsinformation from, within or through the Software or Service, including withoutlimitation, any software that reads areas of RAM used by the Software to storeinformation about a character, in-game items or the Software environment;provided, however, that MAIET may, in its sole discretion, allow the use ofspecified third party user interfaces;[/u]

h<spanlang=EN-US>. modify, or allow or cause to be modified, any files that are a part ofthe Software in any way not expressly authorized by MAIET in writing in eachinstance;[/u]

i<spanlang=EN-US>. host, provide or develop matchmaking services for the Software orService or intercept, emulate or redirect the communication protocols used byMAIET in any way, for any purpose, including without limitation, unauthorizedplay over the Internet, network play, or as part of content aggregationnetworks;[/u]

j.<spanstyle='mso-spacerun:yes'> facilitate, create ormaintain any unauthorized connection to the Software or Service, includingwithout limitation, (i) any connection to anyunauthorized server that emulates, or attempts to emulate, the Service; or (ii)any connection using programs or tools not expressly approved by MAIET inwriting in each instance;[/u]

k<spanlang=EN-US>. create any other software or content that incorporates the Software orService or any portion thereof; or[/u]

3.<spanstyle='mso-spacerun:yes'> Copyrights, Trademarks andProprietary Rights[/u]

a.<spanstyle='mso-spacerun:yes'> GunZ 2: the SecondDuel and certain related names and logos are registered or unregisteredtrademarks, service marks and/or trade names of MAIET.<spanstyle='mso-spacerun:yes'> [/u]These and all other trademarks, service marksand trade names used in or in connection with the Software (the “Marks”) areproprietary rights owned by MAIET or its licensors.[/u]

b.<spanstyle='mso-spacerun:yes'> All rights and titlein and to the Software, the Game, the Service, the Site, your Account and allcontent included therein (including, without limitation, Accounts, computercode, titles, objects, artifacts, characters, character names, locations,location names, stories, storylines, dialogue, catch phrases, artwork,graphics, structural or landscape designs, animations, sounds, musicalcompositions and recordings, audio-visual works, character likenesses, andmethods of operation) are owned by MAIET or its licensors. The Software maycontain materials licensed by third parties, and the licensors of thosematerials may enforce their rights in the event of any violation of thisAgreement. The Software and the Game and all content therein are protected by Koreaand other international intellectual property laws. MAIET and its licensorsreserve all rights in connection with the Software and the Game, including,without limitation, the exclusive right to create derivative works there from,and you agree that you will not create any work of authorship based on the Gameexcept as expressly permitted by MAIET. You acknowledge and agree that you haveno interest, monetary or otherwise, in any feature or content contained in theGame. You further acknowledge and agree that you shall have no ownership orother property interest in your Account, and you acknowledge and agree that allrights in and to the Account are and shall forever be owned by and inure to thebenefit of MAIET.[/u]

4.<spanstyle='mso-spacerun:yes'> Consent to Monitor[/u]

When running the Software, MAIET maymonitor your use and play of the Software and collect data regarding your useand play of the software in accordance with MAIET’s Privacy Policy.<spanstyle='mso-spacerun:yes'> In addition, the software may monitoryour computer’s Random Access Memory (RAM) for unauthorized third-partyprograms running concurrently with the Software. An “Unauthorized Third-PartyProgram” as used herein shall be defined as any third-party software prohibitedby Section 2. In the event that theSoftware detects an Unauthorized Third-Party Program, the Software maycommunicate information back to MAIET, including without limitation, your Accountname, details about the Unauthorized Third-Party Program detected and the timeand date; and MAIET may exercise any or all of its rights under this agreement,with or without prior notice to you, including without limitation, terminationof this agreement and your right to continue use of the Software.[/u]

5.<spanstyle='mso-spacerun:yes'> Patches and Updates[/u]

MAIET may deploy or provide patches,updates and modifications to the Game that must be installed for you tocontinue to play the Game. MAIET may update the Game remotely including withoutlimitation the Game Client Software residing on the your machine, without yourknowledge, and you hereby grant to MAIET your consent to deploy and apply suchpatches, updates and modifications.

6.<spanstyle='mso-spacerun:yes'> Duration of Online Services[/u]

The Software is an online game that must beplayed over the Internet through the Service as provided by MAIET. Youunderstand and agree that the Service is provided by MAIET at its discretionand may be terminated or otherwise discontinued by MAIET at any time for anyreason or no reason.

7.<spanstyle='mso-spacerun:yes'> Termination[/u]
<o:p> </o:p>
This License Agreement is effective untilterminated. You may terminate the License Agreement at any time by (<spanclass=SpellE>i) permanently destroying all copies of the Game in yourpossession or control; (ii) removing the Software from your hard drive. MAIETmay terminate this Agreement at any time for any reason or no reason. Upontermination for any reason, all licenses granted herein shall immediatelyterminate and you must immediately and permanently destroy all copies of theGame in your possession and control and remove the Software from your harddrive.[/u]

8.<spanstyle='mso-spacerun:yes'> Warranty Disclaimer[/u]

TO THE EXTENT PERMITTED BY APPLICABLE LAW,THE GAME AND ALL INFORMATION, CONTENT AND SERVICES CONTAINED THEREON AREPROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS ORIMPLIED. MAIET EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES OF TITLE ORNON-INFRINGEMENT OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR APARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE INCAPABLE OFEXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THISAGREEMENT. USE OF THE GAME IS AT YOUR SOLE RISK.

NEITHER MAIET, MAIET' THIRD-PARTYPROVIDERS, NOR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING ORDISTRIBUTING ANY CONTENT OR SERVICES CONTAINED IN THE GAME, NOR ANY OF THEIRRESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS, MAKE ANY WARRANTYWHATSOEVER, INCLUDING, WITHOUT LIMITATION, THAT THE GAME WILL BE UNINTERRUPTEDOR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BEOBTAINED FROM USE OF THE GAME OR AS TO THE ACCURACY, RELIABILITY, QUALITY ORCONTENT OF ANY INFORMATION, SERVICE OR MERCHANDISE PROVIDED ON OR THROUGH THEGAME, INCLUDING, WITHOUT LIMITATION, ALL MAIET COMMUNICATION FEATURES.

MAIET SHALL NOT BE LIABLE IN ANY WAY FORANY LOSS OR DAMAGE OF ANY KIND ARISING OUT OF THE GAME OR ANY USE OF THE GAME,INCLUDING, WITHOUT LIMITATION, LOSS OF DATA, LOSS OF GOODWILL, WORK STOPPAGE,COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER DAMAGES OR LOSSES.FURTHER, MAIET SHALL NOT BE LIABLE IN ANY WAY FOR ANY LOSS OR DAMAGE TO PLAYERCHARACTERS, VIRTUAL GOODS OR CURRENCY, ACCOUNTS, STATISTICS OR USER RANKS, ORPROFILE INFORMATION STORED BY THE GAME AND/OR THE SERVICE. MAIET SHALL NOT BERESPONSIBLE FOR ANY INTERRUPTIONS OF SERVICE, INCLUDING, WITHOUT LIMITATION,ISP DISRUPTIONS, SOFTWARE OR HARDWARE FAILURES, OR ANY OTHER EVENT WHICH MAYRESULT IN A LOSS OF DATA OR DISRUPTION OF SERVICE. IN NO EVENT WILL MAIET BELIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIALDAMAGES.

Because some states or jurisdictions do notallow the exclusion or the limitation of liability for consequential orincidental damages, in such states or jurisdictions, the liability of MAIETshall be limited to the fullest extent permitted by applicable law.

10. Equitable Remedies

You hereby agree that MAIET would beirreparably damaged if the terms of this Agreement were not specificallyenforced, and therefore you agree that MAIET shall be entitled, without bond orother security or proof of damages, to appropriate equitable remedies in anycourt of competent jurisdiction with respect to any breach of this Agreement,which equitable remedies shall be in addition to such other remedies as MAIETmay otherwise have available under applicable law.<spanstyle='mso-spacerun:yes'> In the event any litigation is broughtby either party in connection with this Agreement, the prevailing party in suchlitigation shall be entitled to recover from the other party all the costs,attorneys’ fees and other expenses incurred by such prevailing party in thelitigation.[/u]

11. Governing Law; Dispute Resolution

Such informal negotiations commence upon written notice from oneperson to the other. MAIET will send its notice by email to you at the emailaddress you have provided to create your User Account. You will send yournotice to MAIET Entertainment, Inc. by replying the mail to support+gunz2..[/u]

b.<spanstyle='mso-spacerun:yes'> Binding Arbitration -If you and MAIET are unable to resolve a Dispute through informal negotiations,either you or MAIET may elect to have the Dispute (except those Disputesexpressly excluded below) finally and exclusively resolved by bindingarbitration. Any election to arbitrate by one party shall be final and bindingon the other. YOU UNDERSTAND THAT ABSENT THIS PROVISION, YOU WOULD HAVE THERIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commencedand conducted under the jurisdiction of Korean courts. The arbitration may beconducted in person, through the submission of documents, by phone or online.The arbitrator will make a decision in writing, but need not provide astatement of reasons unless requested by a party. The arbitrator must followapplicable law, and any award may be challenged if the arbitrator fails to doso. To the full extent permitted by law, (1) no arbitrationshall be joined with any other; (2) there is no right or authority for anyDispute to be arbitrated on a class-action basis or to utilize class actionprocedures; and (3) there is no right or authority for any Dispute to bebrought in a purported representative capacity on behalf of the general publicor any other persons.[/u]

This License Agreement represents thecomplete agreement between you and MAIET with respect to the subject matterhereof, and supersedes any prior or contemporaneous agreements between you andMAIET; provided however, that this License Agreement shall coexist with, andshall not supersede, the Terms of Use or the Privacy Policy.<spanstyle='mso-spacerun:yes'> To the extent that the provisions ofthis License Agreement conflict with the Terms of Use, the conflictingprovisions in the Terms of Use shall govern. The Game is operated by MAIET in Korea.Those who choose to access the Game from locations outside Korea shall do <spanclass=GramE>so on[/u] their own initiative and are responsible forcompliance with applicable local laws. MAIET’ failure to enforce any provisionof this License Agreement shall in no way be construed to be a present orfuture waiver of such provision, nor in any way affect the right of any partyto enforce each and every such provision thereafter. The express waiver byMAIET of any provision, condition or requirement of this License Agreementshall not constitute a waiver of any future obligation to comply with suchprovision, condition or requirement. If any provision of this License Agreementis held to be invalid or unenforceable for any reason, such provision shall bereformed to the extent necessary to make it enforceable to the maximum extentpermissible so as to affect the intent of the parties, and the remainder ofthis License Agreement shall continue in full force and effect. If, however, itis determined that such provision cannot be reformed, then that provision shallbe deemed severable from these terms and shall not affect the validity andenforceability of any remaining provisions. The provisions of Sections 2, 3, 4and 8 through 12 shall survive any termination of this License Agreement. All use of the Software is subjectto this License Agreement and to the Terms of Use agreement (the “Terms ofUse”), both of which you must accept before you can use your User Account(hereinafter referred to as “Account”) to play the Game.

e.<spanstyle='mso-spacerun:yes'> use cheats,automation software (bots), hacks, mods or any other unauthorized third-partysoftware, tools or content designed to modify the Software, the Service or theGame experience;[/u]

f.<spanstyle='mso-spacerun:yes'> exploit the Software,the Service, the Game experience or any portion thereof for any commercialpurpose, including without limitation, (i) use at acyber cafe, computer gaming center or any other location-based site without theexpress written consent of MAIET; (ii) for gathering in-game currency, items orresources for sale outside the Software; or (c) performing in-game services inexchange for payment outside the Software (e.g., power-leveling and similaractivities);[/u]

g.<spanstyle='mso-spacerun:yes'> use any unauthorizedthird-party software that intercepts, “mines”, or otherwise collectsinformation from, within or through the Software or Service, including withoutlimitation, any software that reads areas of RAM used by the Software to storeinformation about a character, in-game items or the Software environment;provided, however, that MAIET may, in its sole discretion, allow the use ofspecified third party user interfaces;[/u]

j.<spanstyle='mso-spacerun:yes'> facilitate, create ormaintain any unauthorized connection to the Software or Service, includingwithout limitation, (i) any connection to anyunauthorized server that emulates, or attempts to emulate, the Service; or (ii)any connection using programs or tools not expressly approved by MAIET inwriting in each instance;[/u]

3.<spanstyle='mso-spacerun:yes'> Copyrights, Trademarks andProprietary Rights[/u]

a.<spanstyle='mso-spacerun:yes'> GunZ 2: the SecondDuel and certain related names and logos are registered or unregisteredtrademarks, service marks and/or trade names of MAIET.<spanstyle='mso-spacerun:yes'> [/u]These and all other trademarks, service marksand trade names used in or in connection with the Software (the “Marks”) areproprietary rights owned by MAIET or its licensors.[/u]

b.<spanstyle='mso-spacerun:yes'> All rights and titlein and to the Software, the Game, the Service, the Site, your Account and allcontent included therein (including, without limitation, Accounts, computercode, titles, objects, artifacts, characters, character names, locations,location names, stories, storylines, dialogue, catch phrases, artwork,graphics, structural or landscape designs, animations, sounds, musicalcompositions and recordings, audio-visual works, character likenesses, andmethods of operation) are owned by MAIET or its licensors. The Software maycontain materials licensed by third parties, and the licensors of thosematerials may enforce their rights in the event of any violation of thisAgreement. The Software and the Game and all content therein are protected by Koreaand other international intellectual property laws. MAIET and its licensorsreserve all rights in connection with the Software and the Game, including,without limitation, the exclusive right to create derivative works there from,and you agree that you will not create any work of authorship based on the Gameexcept as expressly permitted by MAIET. You acknowledge and agree that you haveno interest, monetary or otherwise, in any feature or content contained in theGame. You further acknowledge and agree that you shall have no ownership orother property interest in your Account, and you acknowledge and agree that allrights in and to the Account are and shall forever be owned by and inure to thebenefit of MAIET.[/u]

When running the Software, MAIET maymonitor your use and play of the Software and collect data regarding your useand play of the software in accordance with MAIET’s Privacy Policy.<spanstyle='mso-spacerun:yes'> In addition, the software may monitoryour computer’s Random Access Memory (RAM) for unauthorized third-partyprograms running concurrently with the Software. An “Unauthorized Third-PartyProgram” as used herein shall be defined as any third-party software prohibitedby Section 2. In the event that theSoftware detects an Unauthorized Third-Party Program, the Software maycommunicate information back to MAIET, including without limitation, your Accountname, details about the Unauthorized Third-Party Program detected and the timeand date; and MAIET may exercise any or all of its rights under this agreement,with or without prior notice to you, including without limitation, terminationof this agreement and your right to continue use of the Software.[/u]

MAIET may deploy or provide patches,updates and modifications to the Game that must be installed for you tocontinue to play the Game. MAIET may update the Game remotely including withoutlimitation the Game Client Software residing on the your machine, without yourknowledge, and you hereby grant to MAIET your consent to deploy and apply suchpatches, updates and modifications.

6.<spanstyle='mso-spacerun:yes'> Duration of Online Services[/u]

The Software is an online game that must beplayed over the Internet through the Service as provided by MAIET. Youunderstand and agree that the Service is provided by MAIET at its discretionand may be terminated or otherwise discontinued by MAIET at any time for anyreason or no reason.

This License Agreement is effective untilterminated. You may terminate the License Agreement at any time by (<spanclass=SpellE>i) permanently destroying all copies of the Game in yourpossession or control; (ii) removing the Software from your hard drive. MAIETmay terminate this Agreement at any time for any reason or no reason. Upontermination for any reason, all licenses granted herein shall immediatelyterminate and you must immediately and permanently destroy all copies of theGame in your possession and control and remove the Software from your harddrive.[/u]

MAIET EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES OF TITLE ORNON-INFRINGEMENT OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR APARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE INCAPABLE OFEXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THISAGREEMENT. USE OF THE GAME IS AT YOUR SOLE RISK.

NEITHER MAIET, MAIET' THIRD-PARTYPROVIDERS, NOR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING ORDISTRIBUTING ANY CONTENT OR SERVICES CONTAINED IN THE GAME, NOR ANY OF THEIRRESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS, MAKE ANY WARRANTYWHATSOEVER, INCLUDING, WITHOUT LIMITATION, THAT THE GAME WILL BE UNINTERRUPTEDOR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BEOBTAINED FROM USE OF THE GAME OR AS TO THE ACCURACY, RELIABILITY, QUALITY ORCONTENT OF ANY INFORMATION, SERVICE OR MERCHANDISE PROVIDED ON OR THROUGH THEGAME, INCLUDING, WITHOUT LIMITATION, ALL MAIET COMMUNICATION FEATURES.

MAIET SHALL NOT BE LIABLE IN ANY WAY FORANY LOSS OR DAMAGE OF ANY KIND ARISING OUT OF THE GAME OR ANY USE OF THE GAME,INCLUDING, WITHOUT LIMITATION, LOSS OF DATA, LOSS OF GOODWILL, WORK STOPPAGE,COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER DAMAGES OR LOSSES.FURTHER, MAIET SHALL NOT BE LIABLE IN ANY WAY FOR ANY LOSS OR DAMAGE TO PLAYERCHARACTERS, VIRTUAL GOODS OR CURRENCY, ACCOUNTS, STATISTICS OR USER RANKS, ORPROFILE INFORMATION STORED BY THE GAME AND/OR THE SERVICE. MAIET SHALL NOT BERESPONSIBLE FOR ANY INTERRUPTIONS OF SERVICE, INCLUDING, WITHOUT LIMITATION,ISP DISRUPTIONS, SOFTWARE OR HARDWARE FAILURES, OR ANY OTHER EVENT WHICH MAYRESULT IN A LOSS OF DATA OR DISRUPTION OF SERVICE. IN NO EVENT WILL MAIET BELIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIALDAMAGES.

Because some states or jurisdictions do notallow the exclusion or the limitation of liability for consequential orincidental damages, in such states or jurisdictions, the liability of MAIETshall be limited to the fullest extent permitted by applicable law.

10. Equitable Remedies

You hereby agree that MAIET would beirreparably damaged if the terms of this Agreement were not specificallyenforced, and therefore you agree that MAIET shall be entitled, without bond orother security or proof of damages, to appropriate equitable remedies in anycourt of competent jurisdiction with respect to any breach of this Agreement,which equitable remedies shall be in addition to such other remedies as MAIETmay otherwise have available under applicable law.<spanstyle='mso-spacerun:yes'> In the event any litigation is broughtby either party in connection with this Agreement, the prevailing party in suchlitigation shall be entitled to recover from the other party all the costs,attorneys’ fees and other expenses incurred by such prevailing party in thelitigation.[/u]

11. Governing Law; Dispute Resolution

b.<spanstyle='mso-spacerun:yes'> Binding Arbitration -If you and MAIET are unable to resolve a Dispute through informal negotiations,either you or MAIET may elect to have the Dispute (except those Disputesexpressly excluded below) finally and exclusively resolved by bindingarbitration. Any election to arbitrate by one party shall be final and bindingon the other. YOU UNDERSTAND THAT ABSENT THIS PROVISION, YOU WOULD HAVE THERIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commencedand conducted under the jurisdiction of Korean courts. The arbitration may beconducted in person, through the submission of documents, by phone or online.The arbitrator will make a decision in writing, but need not provide astatement of reasons unless requested by a party. This License Agreement represents thecomplete agreement between you and MAIET with respect to the subject matterhereof, and supersedes any prior or contemporaneous agreements between you andMAIET; provided however, that this License Agreement shall coexist with, andshall not supersede, the Terms of Use or the Privacy Policy.<spanstyle='mso-spacerun:yes'> To the extent that the provisions ofthis License Agreement conflict with the Terms of Use, the conflictingprovisions in the Terms of Use shall govern. MAIET’ failure to enforce any provisionof this License Agreement shall in no way be construed to be a present orfuture waiver of such provision, nor in any way affect the right of any partyto enforce each and every such provision thereafter. The express waiver byMAIET of any provision, condition or requirement of this License Agreementshall not constitute a waiver of any future obligation to comply with suchprovision, condition or requirement. If any provision of this License Agreementis held to be invalid or unenforceable for any reason, such provision shall bereformed to the extent necessary to make it enforceable to the maximum extentpermissible so as to affect the intent of the parties, and the remainder ofthis License Agreement shall continue in full force and effect. If, however, itis determined that such provision cannot be reformed, then that provision shallbe deemed severable from these terms and shall not affect the validity andenforceability of any remaining provisions. The provisions of Sections 2, 3, 4and 8 through 12 shall survive any termination of this License Agreement.
